Corporations, LLCs, LLPs, LLLPs
Creating, running, and growing a business can be both rewarding and challenging. First, it is important to understand and choose the most appropriate business structure for your needs, i.e., corporation, limited liability company, limited liability partnership, sole proprietorship, etc. Second, the appropriate governing documents must be tailored to fit your situation, e.g., articles of organization or incorporation, operating agreements, bylaws, etc.
Businesses thereafter encounter many legal needs and challenges, whether with employee matters, real estate leases, vendor agreements, assets and liabilities, purchasing and selling, and the like. Many challenges, however, can be avoided or mitigated with proper attention to detail and planning. Woodbury Law specializes in such detail and has assisted countless businesses with all types of legal needs. View our BUSINESS blog.

Contracts come in all shapes and sizes. There are contracts that relate to the purchasing, selling, using, and leasing of real property. There are contracts relating to the employment, structure, and function of a business. And there are also contracts relating to a wide range of personal property and personal issues.
Why the wide application and necessity of contracts? To ensure important terms are in writing and clearly understandable among the parties. Doing so can avoid confusion, disagreements, and possible litigation. Woodbury Law has aided countless clients with contract formation, interpretation, and execution. View our CONTRACTS blog.
Proper estate planning involves the formation, interpretation, and execution of wills, trusts, powers of attorney, and the like. These are tools designed to preserve and pass assets to loved ones without unnecessary expense, delay, or probate court entanglement. They can provide peace of mind knowing that your property will pass to your intended beneficiary, and not to the pockets of attorneys, probate courts, the state, or that cousin twice removed you've never met. A proper estate plan can also assist with ensuring your needs are immediately cared for in the event of an illness or accident. View our ESTATE PLANNING blog.
Probate is a court process that generally oversees the management, liquidation, and distribution of certain assets that don't otherwise pass to beneficiaries by trust or operation of law. As you can guess, probate can be complex and difficult to navigate. It typically requires filing court petitions, preparing inventories of assets, rendering accountings of assets and expenses, attending court hearings, seeking court approval to sell and distribute assets, and the like. A daunting task to say the least. The time and expense of probate, however, can be avoided with proper estate planning. View our ESTATE PLANNING blog.
Boulder City Municipal Court
Criminal Law involves misdemeanor crimes at the municipal court level, and gross misdemeanor and felony crimes at the state level. Different crimes carry varying burdens of proof and sentencing possibilities. It is important, therefore, to understand the nature of the charges, evidence being presented, and possible sentencing requirements.
One of the main purposes for hiring legal counsel is to ensure your constitutional rights are protected throughout the process. Woodbury Law has assisted and guided numerous clients with criminal charges, both as private and as court-appointed legal counsel. View our CRIMINAL DEFENSE blog.
